Legion M is the first entertainment company built to be owned by FANS. Enabled by disruptive new securities laws, we're opening the gates of Hollywood to give fans a seat at the table — and a stake in the outcome.

Why? Because no matter where you sit in the entertainment value chain, a “built-in audience” is one of the most valuable assets in Hollywood. It’s the reason A-list actors get paid tens of millions of dollars to appear in a film, and why sequels, reboots and comic book movies rule the theaters. Studios know that a built-in audience ensures fans will watch (and, more importantly, talk about) their movie. And while that doesn’t guarantee box-office success, it dramatically reduces risk and increases the odds of creating a hit.

We founded Legion M because we saw a once-in-a-lifetime opportunity to reshape the future of entertainment. Our logo (the M with a bar over it) is the Roman numeral for 1 million. That's because our long-term goal is to unite 1 million fans as shareholders of the company, creating a massive grassroots audience — a Legion of fans — that we believe could make Legion M one of the most influential companies in Hollywood.

Legion M's Top Secret Plan
Legion M - How the JOBS Act Lets Anyone Invest Like the 1%
Legion M - How We Make Money

EARLY STAGE, PRE-IPO STARTUP OPPORTUNITY. When you invest in Legion M you are buying stock in a pre-IPO startup — like investing in Disney when it was just Walt and Roy, or Amazon when it was run out of a garage. Successful media companies are often measured in tens or hundreds of billions of dollars— you are buying into Legion M at a valuation of about $32MM-$40MM. There is a lot of risk (see below) but if we’re successful there is a LOT of upside.

Investing in early stage startups USED to be off-limits to non-accredited investors, but thanks to the JOBS Act now everyone has the opportunity to participate in the startup economy! With over 25, investors & more than $10 million raised. Legion M is one of the most successful companies in JOBS Act history.

Legion M's founders previously cofounded MobiTV, a streaming media startup that became a worldwide leader in mobile television with $ MM in venture capital, ~$MM in annual revenue, and an Emmy Award for Innovation in Television.

When you invest in Legion M you're not just backing a single project -- you're investing in an entire slate. By diversifying across different genres (e.g. comedy vs. horror), mediums (e.g. TV vs. Movies), and risk profiles (e.g. high risk early-stage projects vs. low-risk late-stage projects), we're building a company designed to stand the test of time.

For most companies investors are simply a source of funding. For Legion M, they are our superpower. We're constantly looking for new and innovative ways to give our investors a voice in company decisions and harness their collective passion, wisdom and insight for the benefit of the company.

Involving fans in our decisions doesn’t just make us different (when’s the last time Disney asked you what movie they should make?), we believe it makes us BETTER.  By giving fans a voice in the process and a stake in the outcome, we gain:

  • A built-in audience eager to come out opening night and bring all their friends
  • A massive "street team" motivated to share and build grassroots buzz
  • A legion of scouts to help us find the next big thing
  • A built-in focus group to evaluate content and harness the "wisdom of the crowd"
  • A constant source of energy, enthusiasm and excitement to propel us forward
  • A deep pool of talent for crowdsourcing ideas and tasks
Legion M - Leveraging the Wisdom of the Crowd with M-Pulse
Legion M - Become FILM SCOUT and Help Us Find the Next Big Thing

Legion M is more than just a company; it's a community. A collection of fans and creators banding together to shape the future of entertainment. We're constantly seeking ways to open the gates of Hollywood for the benefit of our community. Whether it's winning tickets to a red carpet premiere, hanging with celebrities in the Legion M lounge at Sundance, joining a livestream Q&A, or gathering for drinks at a local meet-up, Legion M provides opportunities for YOU to get involved and come behind the scenes.

When you invest in Legion M you are buying stock in the company. It's like investing in Disney back when it was just Walt and Roy. As a pre-IPO startup, we are inherently risky. The fact is, most startups fail, and if we fail, you will likely lose your investment.

But startups that succeed can change the world, and provide staggering returns for investors. Our current market cap (the price you are buying in at) is about $32 -$40 million. If we're successful, we believe Legion M could someday be worth billions. We believe there's a LOT of upside.

The stock you are buying has the EXACT same financial terms as the stock owned by the founders, employees, and every other investor big and small (we have investors ranging from $ to over $,). All of us are in the same boat -- we don't succeed unless you succeed.

Like a snowball rolling down the hill, the larger we get the more powerful we become. We're swinging for the fences with Legion M, and while no one can guarantee success, we're betting our money, reputations, and careers that we can make this the best investment you've ever made.

As a silicon-valley based startup, Legion M is always looking for new ways to innovate. Over the past 4 years we’ve raised over $10,, from more than 25, investors on our way to becoming one of the most successful JOBS Act companies in history. With Round 7, we’re testing a new strategy we think could change the game:

For a limited time, Legion M is re-allocating money we’d usually spend with tech companies on digital ads, and instead spending it with businesses we love on REWARDS FOR INVESTORS!

Why are we doing this? Aside from the fact that we'd much rather spend money on rewards for investors instead of ads, we believe that by investing in our community we have the potential to LOWER our marketing spend and improve Legion M's odds of success for all our shareholders. For more information, check out this blog post.

While our shareholders have a voice in the selection process, they aren’t the ONLY voice. Entertainment is one of the most complex and competitive industries on the planet, and Hollywood has a reputation for chewing up and spitting out starry-eyed investors. We believe a Legion of fans provides a significant edge when it comes to evaluating projects, but we also know that to succeed we need deep understanding of the BUSINESS of show business. That’s where our advisory board comes in.

The men and women of Legion M’s advisory board have centuries of combined experience between them and have generated billions of dollars of box office around the globe. They’ve worked in front of the camera and behind the scenes. Between them, they’ve partnered with or sat across the table from just about everyone in the industry. They are a critical part of Legion M’s success, and we are fortunate to have them.

Legion M is using disruptive new equity crowdfunding laws to build an entertainment company owned by FANS. That's because we believe an entertainment company owned by its audience has a fundamental competitive advantage over those owned by Wall Street.

Fans are the ones who buy the tickets, pay the subscriptions, and fuel the multi-trillion dollar global entertainment industry. Individually, each of us is just a consumer, but together we have the power to shape the future of Hollywood.

Our long-term goal is to unite 1 million fans as shareholders of our company. In fact our logo -- the M with a bar over it -- is the Roman numeral for 1 million.  If we can achieve this goal, we'll have hundreds of millions of dollars to develop film, television, and entertainment projects that have one million fans standing behind them. We believe this could make us one of the most influential companies in Hollywood!

How Does Legion M Make Money?

We partner with creators - from independent filmmakers to Hollywood studios - to produce and market movies, TV shows, digital content, and more. We provide development, financial backing, marketing muscle and, most importantly, fan engagement.

For some projects, we develop the content ourselves (e.g. Icons, Pitch Elevator, Celebrating Stan Lee). In other cases, we invest our time and money in somebody else's project (e.g. Colossal, Bad Samaritan, Mandy). In every case, we leverage our superpower -- a legion of engaged shareholders -- to increase project ROI and improve chances of success.

We've only been in business for four years, but we've already witnessed the power of the Legion. The fact that we're owned by fans has allowed us to get involved with luminaries like Stan Lee, Kevin Smith, Dean Devlin, Anne Hathaway and Nicolas Cage. Our fan-owners provide input on our projects, and they also cast tens of thousands of votes via our SCOUT program to help us select a film to buy at Sundance.

The Legion M community is like a snowball rolling down a hill--the larger it gets, the more powerful it becomes. We've seen amazing things so far, but we're just getting started. At this rate, we'll soon become unstoppable!

What Sort of Return Can I Expect?

As with any investment, it's impossible to say what will happen in the future. But we can tell you what we hope to achieve. Entertainment is a massive multi-trillion dollar global industry. We believe Legion M is the sort of idea that can transform it.

When you invest in Legion M you are buying stock in the company. It's like investing in Disney back when it was just Walt and Roy. As a pre-IPO startup, we are an inherently risky investment. The fact is, most startups fail and, if we fail, you will likely lose your investment.

But startups that succeed can change the world, and provide staggering returns for investors. Our current valuation (the price you are buying stock at) is about $30 million. If we're successful, we believe Legion M could someday be worth billions. We believe there's a LOT of upside.

All of our stock -- including that owned by founders, employees, and investors big and small (our smallest investors put in $; our largest over $,) -- has the exact same financial terms.

All of us are in the same boat, and nobody succeeds unless we all succeed. We're swinging for the fences, and while no one can guarantee success, we're doing everything in our power to make this the best investment you've ever made.

Before you invest in Legion M (or any company for that matter!) we recommend doing your own independent research. The articles below are a great starting point. We also encourage you to join the Legion (it's free!) which will get you access to our members-only Facebook group and forums. It's a great way to hear from some of our existing shareholders and see for yourself what Legion M is all about.

If you have any questions, don't hesitate to send e-mail to [email protected]

When you invest in a startup, you are investing in a vision. You are LITERALLY creating jobs, altering the course of the future, and making your mark on history. Every great company -- from Walt Disney to Facebook -- started with entrepreneurs and investors who were crazy enough to try something no one else had done before.

We believe a Legion of fans has the power to shape the future of entertainment. We're investing our time, money, reputations and careers to build something truly revolutionary. If you share our vision, pleaseJOIN THE LEGION and help us change the world!

We founded Legion M because we saw a once-in-a-lifetime opportunity to create an entertainment company OWNED by fans.

Why? Because no matter where you sit in the value chain, a built-in audience is one of the most valuable assets in entertainment. By uniting fans as shareholders, we’re creating a built-in audience for everything we do.

Legion M’s logo is the Roman numeral for 1 million. That's because our long-term goal is to unite 1 million fans as shareholders of the company, creating a massive grassroots audience — a Legion of fans — that we believe could make Legion M one of the most influential companies in Hollywood.

Co-founders Paul Scanlan and Jeff Annison are Emmy-winning serial entrepreneurs and digital pioneers. In , the duo (along with one other cofounder) started MobiTV, the first company in the U.S. to launch live streaming television on mobile phones. From to , the trio grew the company into a worldwide leader in streaming media with + employees, more than $ million of VC investment, and an Emmy Award for innovation in television.

In addition, Legion M has attracted a top-tier advisory board that includes billion-dollar producer Dean Devlin, Eric Ries (author of “The Lean Startup"), and current/former executives from Netflix, Sony, Lucasfilm, Epic Games, and MGM.

Since Legion M was founded in , we’ve developed a slate of projects diversified across genre, medium, business model, and risk profile. We’ve demonstrated an ability to work with top tier partners, from billion-dollar producers like Dean Devlin (Independence Day, Stargate, Leverage, The Librarians) and Michael Uslan (Batman, The Dark Knight, Joker) to renowned creators like Stan Lee (creator of the Marvel Universe) and Kevin Smith (Clerks, Dogma, Mallrats) and top-shelf distribution partners including NEON (Parasite, I Tonya), Bleecker Street (The Assistant, Beasts of No Nation), Searchlight (JoJo Rabbit, The Shape of Water), SpectreVision (No Man of God, Color out of Space) and Nederlander Worldwide Productions (Hamilton, Wicked, The Lion King).

Note: This chart shows gross revenue only. For complete audited financial statements along with management's discussion and analysis of the results, please see the offering document.

  1. Legion M's share price is not set on an open market the same way a publicly traded stock is. Instead, the company sets the stock price, and the public decides whether or not they would like to buy it.
  2. Beginning in Round 7, Legion M’s offerings included the opportunity to receive bonus shares as a reward, which changes the effective share price paid by the investor.
  3. The average effective share price for Round 7 was determined by dividing the total amount raised by the total number of shares issued (inclusive of bonus shares).
  4. The effective share price for Round 8 depends on the amount invested and the bonuses (if any) the investor qualifies for.
Entertainment can be extremely lucrative, but is also unpredictable. Consumer trends, technologies, and distribution models are constantly changing. Movies and TV shows are expensive bets, with budgets that can reach the tens or hundreds of millions of dollars. Every project has potential to be a breakout hitbut even the biggest names in the business sometimes strike out.

How can you improve your odds of success?

While technologies and trends will come and go, there’s been one constant in entertainment since the earliest days of silent film: the importance of the audience. It's the audience (or lack thereof) that determines success or failure, and the audience that’s responsible for every penny in ticket sales, subscription fees, and advertising revenue.

That's why a company owned by fans is such a powerful idea. When we pool our collective power, we have potential to:

  • Fill theaters opening night
  • Negotiate better terms
  • Attract the best talent
  • Harness the "wisdom of the crowd" to make decisions
  • Find the next big thing
  • Reduce downside risk
  • Increase the chance of creating a hit

We believe that by harnessing the power of fans, Legion M can create SUSTAINABLE LONG TERM COMPETITIVE ADVANTAGES that could potentially make Legion M one of the most influential companies in Hollywood.

Most companies view investors simply as a source of capital. For Legion M, they are the foundation of our business. We are a community as well as a corporation, and our job is to create value for this community with things like:

  • Invitations to red carpet premieres
  • Set visits
  • Roles as extras in our films
  • Special events (e.g. Stan Lee Handprint Ceremony, Saturn Awards, etc)
  • Opening weekend meetups for movie releases
  • Online Q&A’s with actors, directors, and other Hollywood insiders
  • Special Investor-Only offers, discounts, and invitations
  • Lounges at events like Comic Con and Sundance Film Festival
  • FILM SCOUT app and Elite Scout Program
  • Inclusion in the Legion M production credit

The wonderful thing about a fan-owned company is that financial ROI and fun are not mutually exclusive. The more engaged and excited our audience is, the more buzz and value we create for the project, which in turn increases the project’s chances of success to the benefit of the company and all of its shareholders.

Legion M has growing revenue from a diversified array of business models. We focus on areas where we can use our community to create competitive advantages, including:

Entertainment is a multi-trillion dollar industry, and we believe Legion M is the sort of idea that can transform it. If we’re successful in achieving our goal of 1 million shareholders, we believe Legion M could become one of the most influential companies in Hollywood.

Legion M was founded by Paul Scanlan and Jeff Annison in March, [2] Legion M is the world's first entertainment studio that allows fans to invest in and be part of the creation of new movies, television shows, virtual reality and other pieces of entertainment content.[3] Scanlan and Annison were able to create Legion M after the SEC passed Title IV of the JOBS Act, which allowed non-accredited investors to make investments in small businesses.[4] Legion M is currently partnered with Seth Green, co-creator of Emmy-winning TV series Robot Chicken, Gaston Dominguez of Meltdown Entertainment, and gaming studio Animal Repair Show.[5][6]

Legion M added a unique creative ally to its side by partnering with Alamo Drafthouse Cinema. This partnership adds a distribution component for Legion M as well as strengthening its expertise in film.[7]

Legion M worked with the SEC to launch their 2nd funding round as a Reg A+ in March [9] A Reg. A+ round allowed for a higher funding threshold ($50,,), which provides two benefits to Legion M; the addition of capital, and the possibility of additional individual investors.
